1. About these Terms

These Terms of Service (the "Terms") govern access to and use of the ZeroKYC Pay payment gateway (the "Service") operated by ZEROKYC Payments LTD, a company registered in the British Virgin Islands (company No. 2194836), registered office: Suite 404, Oceanic Business Centre, 12 Coral Bay Road, Road Town, Tortola, VG1110, British Virgin Islands. The Service provides payment acceptance tooling for cryptocurrencies. We are a technology provider: unless explicitly stated otherwise (transit mode), we never take possession of merchant funds, and we do not hold, exchange, convert or transmit funds on behalf of any user.

2. How the Service works

Direct checkout: the merchant connects their own wallet (an extended public key or a static address). Buyers pay straight to that wallet. The Service only monitors the relevant public blockchains, reports detected payments and fires signed webhook notifications. We cannot move, freeze or reverse funds on the merchant wallet.

Transit checkout: payments arrive on platform-controlled addresses and are automatically swept to the merchant payout address after network confirmations, minus the transit fee (1% of confirmed volume) and the network fee.

Detection is based on public blockchain data. A payment is considered confirmed after the number of network confirmations stated for each asset in our documentation.

Transit mode disclosure: while the transit checkout is enabled, incoming payments are held on platform-controlled addresses until the automatic sweep to your payout address. During this window the platform temporarily controls these funds; the sweep is a technical obligation and is not discretionary.

3. Merchant account

One person or legal entity may operate one merchant account unless we agree otherwise in writing. You must provide a working email address and keep your credentials, API keys and two-factor authentication secrets secure. All actions performed with your API keys are deemed your actions.

You must be at least 18 years old and legally allowed to run your business under the laws that apply to you. The Service is not offered to residents of jurisdictions where crypto-payment processing is prohibited.

4. Sandbox and paid plans

The sandbox (pk_test keys) is a free testing environment: invoices created with sandbox keys are simulated and never involve real funds.

Paid plans (Starter, Pro) are billed in advance for each 30-day billing cycle. The first 30 days from registration are free of subscription charges. Overage of 0.5% applies to confirmed volume above the plan volume limit, starting from the second billing cycle. Subscription invoices are payable in USDT (TRC-20) to the payment details shown in the merchant console.

If a subscription invoice remains unpaid past the grace period (7 days), the account is suspended: creation of live invoices is blocked until the debt is settled. An account that stays suspended for 30 days may be archived.

5. Acceptable use

You may not use the Service for or on behalf of activities listed in the Acceptable Use Policy (AUP), including sanctions violations, money laundering, fraud, illegal goods and services, or any activity that endangers the Service for other merchants.

We may suspend or terminate an account that violates these Terms or the AUP. Where technically possible we give prior notice; in cases of suspected fraud, sanctions abuse or attacks we may act immediately.

6. Availability, changes and support

We aim for continuous availability but do not guarantee uninterrupted operation. Detection depends on third-party blockchain infrastructure (RPC providers, indexers, public nodes). We publish significant incidents through the status channels and the support widget.

We may change the Service and these Terms. Material changes are announced in the merchant console at least 14 days before they take effect; continuing to use the Service after that means you accept the updated Terms.

7. Limitation of liability

To the maximum extent permitted by law, the Service is provided “as is” and “as available”. We are not liable for indirect, incidental or consequential damages, lost profits or lost data.

Crypto payments are irreversible. We are not a party to the transaction between the merchant and their customer and are not obliged to process refunds. Total liability of the Operator for any claim is limited to the fees you actually paid to us for the Service in the 3 months preceding the claim.

8. Termination and governing law

You may stop using the Service and delete your account at any time. We may terminate an account for breach of these Terms with notice, or immediately in cases covered by the AUP.
